General Terms of Sale and Delivery of CIS Pharma AG

Conclusion of the Contract

Offers by CIS Pharma AG are non-binding. On ordering the goods, the Purchaser indicates that it agrees to these terms and conditions. Where the Purchaser’s own terms and conditions diverge from these, they shall apply only with the express prior agreement of CIS Pharma AG. General terms and conditions sent by the Purchaser in orders or confirmations shall not form part of any contract. Contracts are concluded only after order confirmation by post, fax or email from CIS Pharma AG.

Delivery

Goods are delivered ex works (EXW | Incoterms 2010). CIS Pharma AG rejects any liability for the acts and omissions of transport companies.
The Purchaser shall inspect the goods immediately after receipt of the delivery. Any complaints must be made without delay. Where immediate complaint is delayed through no fault of the Purchaser, complaint must be made within a maximum of five working days after receipt of the delivery.

Product Safety

With regard to the safe and proper handling of our products, we refer to the corresponding safety and technical data sheets that are enclosed with the delivery and are also available under the respective product description at www.cis-puretec.com.
Defects and Warranty
In the case of defective goods, the Purchaser is entitled to repair or replacement delivery. Refunds and price reductions are excluded. Any additional warranty obligations of CIS Pharma AG are waived insofar as this is permitted by law.

Terms of Payment

The purchase price and additional costs are due for payment 30 days after invoicing. Default interest shall be payable on outstanding purchase prices and costs, without the need for a reminder, corresponding to the customary banking rate for unsecured overdrafts but no less than 5% per annum. CIS Pharma AG reserves the right to require security for the purchase price (e.g. payment guarantee, advance payment, etc.). This right shall continue to apply after conclusion of the contract insofar as there are indications that the Purchaser has payment or liquidity problems.
Applicable Law and Jurisdiction

Swiss law applies with the exclusion of the UN Convention on Contracts for the International Sale of Goods. Disputes shall be decided exclusively by the courts with jurisdiction for Bubendorf BL.
